BOARD OF DIRECTORS

C.K. Hong, has served as President and CEO of Netlist since its inception, and Chairman of the Board since January 2004. Prior to joining Netlist, Mr. Hong served as President and Chief Operating Officer of Infinilink Corporation, a DSL equipment company and as Executive Vice President of Viking Components, Inc., a memory subsystems manufacturer. Mr. Hong began his career with LG Group and, over a 15 year period, held various senior management positions with LG in U.S. and Korea. Mr. Hong received his B.S. in economics from Virginia Commonwealth University and his M.S. in technology management from Pepperdine University's Graduate School of Management.

Alan H. Portnoy has served as President of Macronix America, Inc., since 1996. Prior to that, he served as Managing Director of PNY Electronics, Inc. , as Chief Operating Officer of LG Semicon America, as Vice President of General Instruments Corporation, as Senior Vice President of Silicon Systems and as Vice President of Macrodata Corporation. He began his career with Fairchild Semiconductor. Mr. Portnoy received his B.S. in electrical engineering from the Rensselaer Polytechnic Institute and his M.S in industrial administration from Carnegie-Mellon University.

Nam Ki Hong has served as Chairman of the Board of Northpoint Investment Partners, Pte. Ltd., a private investment firm based in Singapore, since 2003. Prior to that, he served as Executive Director of Morgan Stanley & Co. International Ltd., as First Vice President of Merrill Lynch International Inc., and as Vice President and portfolio manager of J.P. Morgan Investment Management Inc. Mr. Hong began his career as an equity research analyst of J. Henry Schroder Wagg & Co. Ltd. He holds a B.S.E. in chemical engineering from Princeton University and an M.B.A. from Columbia University. Mr. Hong is a Chartered Financial Analyst.

Thomas F. Lagatta has served as Senior Vice President and General Manager of the Enterprise Computing Group of Broadcom Corp., since 2003. He joined Broadcom in 2002. Prior to that, Mr. Lagatta served as Vice President and General Manager of Anadigics, Inc., a semiconductor manufacturer. Before Anadigics, Mr. Lagatta served as Vice President of Business Development at Avnet, Inc. Prior to Avnet, Mr. Lagatta served in various senior management and technical positions for over 11 years at Symbios Logic, a storage systems company. Mr. Lagatta received a B.S.E.E. from Ohio State University and an M.S.E.E. from the University of Southern California.

Richard J. Char has served as the Chief Executive Officer of Incentium since July 2008. Prior to Incentium, Richard was Sr. Vice President of Corporate Development and General Counsel of Blackhawk Network. From 2003 to April 2005, Mr. Char served as President and CEO of IC Media, where he negotiated the sale of the Company to MagnaChip Semiconductor, a spinoff of Hynix. Mr. Char's first 13 years of his career was at Wilson, Sonsini, Goodrich and Rosati where he was a Partner specializing in corporate and securities law. He went on to spend several years in investment banking where he held several roles including, Managing Director of Semiconductor Investment Banking and Head of Japan Technology Banking for Credit Suisse First Boston Technology Group. Mr. Char also served as Co-Head of Technology Investment Banking at Cowen & Company. Mr. Char holds an AB from Harvard College and a JD from Stanford Law School.
